Minutes of the Meeting of the Board of Directors
July 16, 2008
The Villas at Falls Run Condominium Board of Directors met on July 16, 2008, at the Center. The meeting was called to order at 9:04 a.m. by Sherri Burke, President, who determined there was a quorum. Members present: Sherri Burke, President; Paul Niemi, Vice-President; Nancy Garner, Treasurer; Joan Bitely, Member at Large; and Carlos Sutton, Secretary. Also in attendance were Robert Ashley and Larry Wiltshire representing Shenandoah Landscaping.
Minutes of the Board of Directors meeting of June 16, 2008, were approved without changes.
President Burke confirmed with Shenandoah that they had received the message asking them to drive around the Villas and see what they thought about the area. She then stated the VBOD was looking for what Shenandoah thought they could do. Shenandoah said from their view it looked superior. President Burke quickly interjected “from last year” and Shenandoah agreed.
Shenandoah provided a list of areas that need attention, including digging out, top soil, and compost, which will require manual labor because you cannot go in with dozers, etc. because of utilities, sprinkler systems, etc.
Shenandoah said the sub soil was very poor, with pH readings of 3.5 to 4.5 last year, and that a good reading should be 7.2 to 7.5. They said they need to establish something that would support a good root system. Mr. Ashley said that unfortunately this was the recommendation last year. Nancy Garner replied we are in better shape financially than last year and that drives a lot of what we do.
Mr. Ashley said that, with a three or four year process, you can balance it out so it is not a lump sum cost.
Mr. Ashley said areas identified as the worst could be put into a grid as the size of the areas are close to the same. Starting in September is the best time to start because the ground is cooler and you have better rain fall, the seeds will start to take root and the root system will grow below grade. Then, in the spring it will start to come up.
Other items discussed were big drop offs, removing rocks, lime next year, and that the thatch should not be raked up by residents.
Larry Wiltshire, the horticulturist for Shenandoah, discussed maples trees that are dead about half way up, shrubs that are half dead, 24 trees that need replacement and the cost per tree. He also recommended starting with the most visible for replacements.
At 9:51 a.m., the VBOD went into Executive Session and reconvened at 10:52 a.m. in open session.
President Burke announced that the items under discussion in the Executive Session were the management company, financial matters, and contracts and asked for a motion to deal with the financial matters discussed in Executive Session.
Nancy Garner made a motion, seconded by Joan Bitely, to accept the Finance Committee recommendation that the Villas pay $58,838 to the FRCA for assessments collected in 2006 by the Villas and never forwarded to the FRCA by Koger. Unanimously approved.
Nancy Garner made a motion, seconded by Paul Niemi, to accept the recommendation by the Finance Committee that a release from settling all claims between the FRCA and the Villas be included with the $58,800+ check. Defeated by a vote of 3 (Burke, Bitely, Garner) to 2 (Niemi and Sutton).
Nancy Garner made a motion, seconded by Joan Bitely, to send a settlement letter written by the BOD or our attorney to accompany the $58,800+ check releasing the Villas from further claims from the FRCA for 2006. Unanimously approved.
Joan Bitely reported that the FRCA Modifications Committee had approved applications for a retractable awning, if installed by a contractor; for repainting a patio; and for painting or tiling a patio as long as the owner realized that any damage done by mowers, etc., would be the owner’s responsibility.
President Burke adjourned the meeting at 11:07 a.m.
