MINUTES OF

MARCH 14, 2008

JOINT MEETING OF THE BOARDS OF DIRECTORS

OF

FALLS RUN COMMUNITY ASSOCIATION, INC.

AND

THE VILLAS AT FALLS RUN CONDO ASSOCIATION

 

The Falls Run Community Association and Villa Association Boards of Directors met on March 14, 2008, for a Joint Meeting at the Center.  The meeting was called to order at  10:00 AM by president of the Villas BOD, Sherri Burke.  A quorum was present. FRCA Board members attending were: Toni Brown, Jake Bernard, Don Horan, Jack Mounts, Harriet Schrader, Chuck Strub and Don Webb.  Villa Board members attending were: Sherri Burke, Joan Bitely, Nancy Garner, and Carlos Sutton.  Villas Board member, Paul Niemi, was absent.

Also present: Sylva Southwell, Property Manager of Armstrong Management; Susan Manch, Regional Manager of Armstrong Management; and seven residents.

 

Minutes of the Joint Board of Directors meeting of December 10, 2007, were approved without change. 

 

Both Presidents took the opportunity to comment on the success of the joint efforts by both associations to work cooperatively for the good of the community.

 

1.      Don Horan made a motion, seconded by Carlos Sutton, to accept identification of Villas property within Falls Run as identified on tax map 45, parcels 14K and 14X.  It was recommended that the acreage of the Villas (33.06048) be added to the description.   Unanimously approved as amended (see attached) by both Boards.  The identification specifics and accompanying plat will become part of the official records for Falls Run and the Villas.

 

2.      Carlos Sutton made a motion, seconded by Joan Bitely, to accept the draft Revocable License Agreement to allow FRCA to landscape and maintain common areas within the Villas.  Unanimously approved by both Boards as amended after discussion.  Sherri Burke is to contact the attorney.

 

No issues were raised at the Owners Forum and the meeting was adjourned at 11:20 a.m.

It is moved that the Falls Run Community Association Board of Directors and the Villas at Falls Run Condominium Unit Owners Association Board of Directors in their joint meeting agree to the following as the proper identification of the entirety of the Villas land within the overall boundaries of Falls Run Property:

Notes from FRCA and Villas Joint Meeting

March 14, 2008

 

The Falls Run Community Association and Villa Association Boards of Directors met on March 14, 2008, for a Joint Meeting at the Center.  The meeting was called to order at 10:00 AM by president of the Villas BOD, Sherri Burke.  A quorum was present. After the vote a question was raised about the appropriateness and process of voting in joint meetings.  Toni Brown is to research the issue with the parliamentarian and report at the next meeting.

 

2.      Jake Barnard and Carlos Sutton reported that the meeting with legal counsel confirmed that the FRCA and the Villas can enter into an agreement which allows FRCA to improve and maintain common areas within the Villas. The attorney was requested to draft a license agreement for this purpose.

3.      Carlos Sutton made a motion, seconded by Joan Bitely, to accept the draft Revocable License Agreement (see item 2 above).  Discussion:

a.       Paragraph 3 should clearly indicate that FRCA is not responsible for the irrigation system in the area of responsibility.

b.      Paragraph 6 should refer to paragraph 5 rather than 3.

c.       The estimated cost to be reimbursed to the Villas for remainder of the Villas contract with Shenandoah Landscaping is $2,970. 

d.      The License Agreement does not give Villas property to FRCA.  Villa owners still retain ownership of 1/199th of the area of common areas. 

After discussion both Boards voted unanimously to accept the draft as amended.  Toni Brown is to contact the attorney.

 

4.      Nancy Garner reported that the auditors had identified invoices totaling $27,405 that had been paid by FRCA during 2005/2006 which either were the responsibility of the Villas or incorrectly indicated “Villas” on the invoices.  After review of all documents, a final amount, $18,707, was agreed to be the correct amount and the Villas has reimbursed FRCA.  The Board thanked everyone who has worked on this issue for their time and effort.

 

Both Boards reported that the 2007 audits are underway and are to be completed within 120 days of the end of the calendar year.

 

5.      Toni Brown suggested that something be done to recognize the many hours and work of many individuals who volunteer within FRCA and the Villas.  Harriett Schrader agreed to work with Sylva Southwell and Ann Jones to develop options to be discussed at the next meeting.

 

6.      Norm Kolb reported on Armstrong Connect, a secure website containing a database of all owners in Falls Run.  Owners will be issued access codes to enter the website in order to review and update their contact information and view their personal assessment payment status and modification requests, if applicable.  Both Boards will have access to information on approved modifications.  The Villas requested a separate subset for Villas only, if possible.  The information will be used to create the new directories and  facilitate keeping owner information current.  Owners without computer access should continue to update their information at the Center either manually or by using the computer there.  While the website provides an alert system, it will be used only for alerts specific to the community, e.g., closing of the Center, blocked roads due to construction, etc.  Residents should continue to use the FRCA website, Channel 20 and Stafford County alerts.

 

7.      Sherri Burke raised the issue of the FRCA Modifications Committee inspections not including the Villas, because she feels the Villas should not enforce FRCA rules. Chuck Strub will contact Robbin Sentell to add the Villas.  The Villas BOD will have further discussion of modifications/inspections at their next meeting.  Carlos Sutton is to attend FRCA Covenant and Modifications Committee meetings.

 

8.      Agendas, minutes and other documents resulting from the Joint meetings will be maintained by both Boards in their notebooks and on their respective websites.  Jack Mounts will ask Dan Brown to add another tab for joint meetings to each Board’s website.

 

No issues were raised at the Owners Forum and the meeting was adjourned at 11:20 a.m.
