Special Meeting of the Falls Run Community Association Board of Directors

Time: 10.00 AM


 

Members Present: Toni Brown, Jake Bernard, Chuck Strub, Jack Mounts, Don Horan, Harriet Schrader, Don Webb


 

Members Absent: None


 

Others Present: Susan Manch; Armstrong Mgt


 

The meeting was called to order at 10.00am by Toni Brown, President. Toni introduced Tom Whalen, Recording Secretary, to the Board and others present.


 

Jack Mounts moved, second Don Webb; that the FRCA board accepts the Villa Board proposal to maintain and beautify the following areas:

 

    1. Land on the east side of Harborton Lane between the last house {#12] and the first villa [#20]

    2. Land on the west side of Harborton Lane opposite 20-26 Harborton Lane and between the last house [#15] and first villa [#31]. Some of the area sloping into pond #5 will be left in a natural state along with the area on the north/northeast sides of the pond.

    3. Obtain legal advise on how to accomplish this objective including if necessary, use of formal easements.

 

The FRCA Board approved the motion unanimously.


 

The board considered a motion to adjourn at 11.32am made by Don Webb, seconded by Jack Mounts. Passed by acclamation.

1. The meeting was called to order at 10.00am by Toni Brown, President. Toni introduced Tom Whalen, Recording Secretary, to the Board and others present.


 

2. Toni Brown explained that the purpose of the meeting was to consider a proposal made by the Villas at Falls Run Board regarding certain areas of land located within the Villas area. The Villas Board has proposed that these certain areas be designated as FRCA common ground areas and that FRCA take over maintenance and beautification of these areas. A lengthy discussion ensued with the following major points covered:


 

  1. Toni Brown indicated that she had just discussed this proposal with Ed O’Connell, FRCA attorney, and he desires a meeting with two members of the Board and two representatives of the Villas Board to further discuss the proposal. Toni indicated that Ed O’Connell had stated that there were many issues regarding the proposal which required review and that no decision was possible at this time.


 

  1. Harriet Schrader discussed the By-Laws and Covenants and how they impact the proposal. In particular, CCR 5.1 which permits the FRCA to maintain property not owned by FRCA and CCR 13 which discusses the relationship between the master association [FRCA] and local associations [Villas].


 

  1. Costs of maintaining the property in question were discussed. The FRCA contract with Shenandoah is @ 115,000 pa and the Villa contract @ 40,000 pa.


 

  1. Don Webb reminded all present that the Villa residents are part of the overall Falls Run community. Jake Bernard reminded all present of the differences in what is owned by FRCA homeowners and Villa owners.


 

  1. Don Horan indicated that he would prefer to come to some agreement with the Villas and then go to the lawyers to discuss it rather than seeing the lawyers before reaching an agreement with the Villas.


 

  1. Jack Mounts moved, second Don Webb; that the FRCA board accepts the Villa Board proposal to maintain and beautify the following areas:

 

    1. Land on the east side of Harborton Lane between the last house {#12] and the first villa [#20]

    2. Land on the west side of Harborton Lane opposite 20-26 Harborton Lane and between the last house [#15] and first villa [#31]. Some of the area sloping into pond #5 will be left in a natural state along with the area on the north/northeast sides of the pond.

    3. Obtain legal advise on how to accomplish this objective including if necessary, use of formal easements.


 

  1. The FRCA Board approved the motion unanimously.


 

  1. The FRCA Board and Villa Board will meet in a joint session on 14 March to consider identical motions on this takeover by FRCA of maintenance and beautification responsibilities as outlined above.
